In line with our Company's growth objectives, regarding the planned increase in the nominal capital of Kobe Poliüretan Sanayi ve Ticaret A.Ş. ("Kobe Poliüretan"), a polyurethane system house engaged in the production of polyurethane, MDI prepolymer, and saturated polyester resin, from TRY 300,000 to TRY 1,500,000; it has been resolved that our Company shall participate in the said capital increase by restricting the pre-emptive rights of the existing shareholders of the Company, and consequently, Kobe Poliüretan shall become a 80% subsidiary of our Company.

Within this scope, as of 13.05.2026 (today), our Company has participated in the said capital increase for 1,200,000 shares, corresponding to a nominal capital amount of TRY 1,200,000 and a share premium of TRY 75,983,750, totaling TRY 77,183,750, and an application has been submitted to the Trade Registry for registration and announcement.

Pursuant to the authorizations granted by the resolutions of our Company's Board of Directors dated 13.04.2026 and 12.05.2026, and in accordance with the relevant provisions of the Capital Markets Law No. 6362 and the Communiqué on Material Events Disclosure (II-15.1), it has been decided to defer the disclosure of inside information in order to protect the legitimate interests of our Company and our investors. This disclosure has been made upon the cessation of the reasons for the deferral.
