A material event disclosure was made on February 10, 2025, regarding the acquisition of shares in Aydost Enerji Üretim Anonim Şirketi—whose principal activity is the generation and sale of electricity from solar energy—from its sole controlling shareholder, Mr. Levent Büküm. In the announcement, it was stated that, pursuant to Law No. 4054 on the Protection of Competition, the transaction was subject to the approval of the Turkish Competition Authority, and that an application would be duly submitted.

On the same date, an agreement was reached for the acquisition of the shares owned by Mr. Levent Büküm in Aydost Enerji Üretim Anonim Şirketi for a total consideration of USD 13,225,000 (thirteenmilliontwohundredtwenty-fivethousand United States Dollars), and a share purchase agreement was signed.

Following the completion of the relevant procedures before the Competition Authority, the share transfer transaction was finalized as of May 20, 2025 (today).

Aydost Enerji, which operates in the province of Antalya, currently owns 11 solar power plants with a total installed capacity of 13,127.40 kWp (13.127 MWp).
