Our Company's Board Member, Mr. Ethem Umut Beytorun, has resigned from his position as a Member of the Board of Directors due to his appointment as General Manager of Tera Portföy Yönetimi A.Ş., in accordance with the fourth paragraph of Article 20 of the Communiqué No. III-55.1 on the Principles Regarding Portfolio Management Companies and Their Activities, which requires the exclusive performance of such general manager duties. We would like to thank Mr. Ethem Umut Beytorun for his valuable contributions to our Company to date.

Following Mr. Beytorun's resignation, and in order to fill the vacant Board Membership position, it has been resolved to appoint Dr. Cebrail Taşkın as a Member of the Board of Directors pursuant to Article 363 of the Turkish Commercial Code No. 6102, subject to the approval of the first General Assembly meeting to be held.

Dr. Cebrail Taşkın has over 30 years of experience in information technologies, telecommunications, financial technologies, and digital transformation, having held senior executive positions in leading institutions in Türkiye throughout his professional career. Within Türk Telekom, he served in executive roles across Operations, Strategy, Planning, Business Development, R&D, and Project Management units, and also held the position of Chief Technology Officer (CTO).

Following his tenure at Türk Telekom, Dr. Taşkın served as the General Director of Information Technologies at the Ministry of Treasury and Finance of the Republic of Türkiye, where he was responsible for the management of electronic public services, modernization of critical financial infrastructures, cybersecurity operations, as well as data centers and disaster recovery systems.

Dr. Taşkın also continues his academic work, holding master's and doctoral degrees, and lectures in the field of Information Technologies at Bahçeşehir Üniversitesi. He has received numerous national and international awards and holds a patent registered with the United States Patent and Trademark Office.

It is considered that Dr. Cebrail Taşkın's extensive experience and leadership backround will make significant contributions to our Company's investment strategies, operational capabilities, and growth objectives.
