Our Company, Tera Yatırım Teknoloji Holding A.Ş., has executed a Share Purchase Agreement with the shareholders of Manas Enerji Yönetimi Sanayi ve Ticaret A.Ş. ("Manas"), whose shares are traded on Borsa İstanbul A.Ş., on 20 February 2026, in relation to the acquisition of Manas shares. Manas operates in the fields of energy management, smart metering systems, and remote reading technologies.

Pursuant to the aforementioned agreement:

the entirety of 20,064,000 privileged Class A shares, and

51,288,000 Class B shares

have been acquired by our Company as of today (20 February 2026), and the share transfer transactions were completed on 20 February 2026.

The total number of the acquired Class A and Class B shares represents 21.55% of Manas' issued share capital and 36.86% of the voting rights.

Manas is a technology-focused company with R&D capabilities and domestic manufacturing competence, developing electricity, water, and natural gas meters, as well as integrated remote reading, data collection, and energy management systems. The company operates in the areas of energy efficiency and digital infrastructure solutions. Through this investment, it is aimed to generate significant synergies between our Company's technology investment portfolio and Manas' manufacturing, R&D, and field implementation capabilities.
