As part of our strategy to strengthen our investments in sustainable agricultural technologies, the strategic partnership and company acquisition negotiations conducted with FLORA ENTEGRE TARIM ÜRÜNLERİ SANAYİ VE TİCARET A.Ş. (Flora Entegre A.Ş.), which operates in the field of medical and industrial hemp production, have concluded positively, and 60% of the company's shares have been acquired by Agrotech.

Hemp is a plant of strategic importance in terms of sustainable agricultural practices, soil health, water efficiency, and the biomaterials ecosystem. Flora Entegre A.Ş. has previously obtained the necessary licenses and permits, conducted cultivation and laboratory studies in authorized pilot fields, and developed a patented product portfolio derived from hemp extract. Our company's existing agricultural lands are aligned with the legally permitted hemp cultivation areas.

Following the acquisition, Flora Entegre A.Ş.'s founder, Mr. Selim Çetinel, and the Netherlands-based management team will continue in their positions for at least three years. Mr. Çetinel's work on industrial hemp in the Netherlands since 2001, as well as the research collaborations initiated with Yozgat Bozok University Hemp Research Institute as of 13 May 2020, will contribute significantly to enhancing our company's knowledge base.

Our company's primary activity areas planned within a three-year perspective regarding hemp cultivation and related investments are as follows:

• Production of oils for pharmaceutical and pharmacy supply through extraction using a high-technology hemp processing facility; open-field cultivation of low-THC CBD/CBG hemp in collaboration with local farmers; and development of patented oil/cream derivatives.

• Implementation of a digital traceability (UID) and batch-tracking infrastructure covering the entire process from seed to pharmacy, in line with the zero-error principle.

• Development of local hemp-based substrates (compressed blocks/pallets, growbags, seedling trays, etc.) as alternatives to peat and cocopeat.

• Annual production of 10,000 tons of hemp-based compost, scaled for both domestic market demand and export.

Through this strategic investment, our company has shaped the roadmap for its integrated facility structure planned over the next 25 years. Further details will be shared with the public through a forthcoming press release.
